The Company further expects that the contemplated, definitive agreement and plan of merger will cause the stockholders of the Company to own approximately 95% of the total issued and outstanding common stock of the combined entity. OK, so can someone tell me what this means?

Shareholders of ORRV will own 5% of the new company?

No reverse split, so that means there are going to be billions of shares out, right?

I think ORRV has about a billion shares out now so 1 billion shares will be worth 5% OF THE COMPANY?

Any idea how much each share will be worth?

If correct, let's value each share at a penny. This would give the company a 200 million dollar market cap.
