Here's the share breakdown on the merger takeover,

Nixon Restaurant Group (NGA, privately held) exchanged their shares for 12,100,000 restricted common shares of WCVC for SEC compliance reporting.

James Nixon also acquired for an undisclosed amount, 15,000,000 restricted shares of the 15,088,000 WCVC shares outstanding.

Of the 88,000 shares left, 60,000 will be returned to the treasury to be retired.

After all said and done, of the 27,123,884 shares to be outstanding, James Nixon will own 25,794,000 shares and the remaining restricted shares of 1,306,000 will be owned as listed in Exhibit 2 of the 8-K filed Monday.

This leaves the current float at approx. 23,884 shares after they effectuate the cancelation of the 60,000 restricted shares of the Company’s Common Stock owned by Mayya Khalay.
