Because then TALK would be responsible for 100% of the debt of UMS, LLC. TALK can't even afford to pay the bills they are directly responsible for, much less their (soon to be former) subsidiaries.

If TALK had any interest in owning UMS LLC post-bankruptcy, they could (and would) have made the offer to the creditors and the court to pay the $100K directly. But they didn't, did they? And that says all you need to know.
