Yes, there are vague rules. I'd suggest getting a securities law hornbook and reading about the different restrictions on what can be said during the pre-filing, waiting, and post-effective periods.
What seems to be misleading is the notion of "triggering" the quiet period. I understand the violation of "gun-jumping" by inadvertently offering securities in the pre-filing period, but how does one trigger the quiet period?
