Keith,

Thanks for writing, and I hope all is well.

The objective for EXAD and Metropolitan is to effect the most beneficial transaction, not simply any transaction. Deal size matters, and the more assets, revenues, and profits we can bring through a deal, the bigger the benefit to shareholders.

The Florida acquisitions didn't fall through, but when Metropolitan was approached by the Seller t

he decision was to abandon the two smaller opportunities being explored in Florida, and devote all resources to this transaction.

The Company has made significant progress with its planned dry cleaning operations under the brand name Metropolitan Dry Cleaners in the North Eastern United States.

The President of Metropolitan is in daily contact with the Sellers and has been working with them to upgrade their accounting software. The two sides have been working together to setup new accounting protocols and completed the that will integrate the Point-of-Sale (“POS”) system and update the accounting software. Metropolitan has reviewed all the information delivered by the Seller, as has their audit review team. Both feel once the data transfer issue has been resolved the audit can begin immediately.

As soon as we have the data issues resolved, the Company will inform shareholders. I don't expect it'll take a long time based on the current information I have.

Regards,

Derrick Lefcoe
