The S-1 is not effective until after the quiet period. How would we know if it was filed until effective. Listing the S-1 on Edgar would nullify the purpose of the quiet period; To keep investors from changing positions.
None of that is factual.
S-1's are not reviewed by the SEC until they are filed on EDGAR. No EDGAR filing means no S-1. Which means no quiet period.
And the claim they can file an S-1 without being current in their filing obligations is ridiculous. They can't.
TALK is NOT in a quiet period. They are simply seriously delinquent in their legally required filing obligations.
