Not sure what your point is I am well aware of these things and I addressed them in my posts.

But if you want to talk about the conversion proposal, my reading of the text is not as clear as they want you to believe.

"upon the earlier to occur of (a) the Common Stock being listed by the affirmative action of the Company on any domestic or foreign stock exchange, or (b) (i) the consummation of a fully-underwritten public offering of the Common Stock with net proceeds therefrom to the Company of $15,000,000 or more"

If the automatic conversion happens after they are listed on the NAZ it is no protection from a Reverse Split. The primary purpose as stated by the BOD in the 14a was in order to get the share price high enough to qualify for uplisting. This company is never going to be worth over $4 a share in order to qualify for uplisting with a billion shares outstanding, so a reverse split will have to happen BEFORE any uplisting.

The company was never going to be able to keep the share structure in place once on the Nasdaq as no institution would be stupid enough to invest in a company that could wipe them out at the stroke of pen.

The only part of the conversion proposal that has any merit is the financing part. They said it should happen in the next few months and that was a few months ago. So it is time to put up or shut up.

As I said they need to convert the B shares now. Then do a RS to have the shares they need to move aggressively now and then in a couple years they can do another RS to get the share price high enough for uplisting.

Everyone should be honest with themself and ask why would the company have structured the B shares the way it did and scheduled the since cancelled RS in the first place if not to enrich themselves at the expense of the shareholders. Then ask yourself why they would put out this misleading conversion proposal. Why try to soothe your fears with something that does not prevent the RS fleecing at all? Instead why would they not just layout a plan to convert all b shares PRIOR to any reverse split or to change the structure so B shares would adjust right along with common ina a RS?
