It could come down to an argument that giving units an equity stake at the expense of fully servicing the 1st and second lien could encumber, or otherwise diminish, NewCo's ability to service the debt going forward. The insiders have absolutely nothing to gain, and possibly something to lose, by giving equity to the units. Not saying it WILL happen. Just saying it is a risk
