They have a duty of loyalty and a duty of care towards the corporation and stakeholders to always act in a manner that is avoiding harm from the corporation and ultimately to maximize shareholder value.
I can't see how management's inactivity is fulfilling these duties, for instance when a prospective client may be turned away from contacting the company for a quote after visiting their "website". That is harmful to revenue generation. They are just helping our case should there ever be a class action lawsuit.
