Jeff is the only director and, as you say, he owns 75 million.

Jimmie Carter received 500,000 restricted shares as "employee incentive" back in March of 2014 but I don't believe he would be considered part of management.

Jon Newcomer received 5 million shares as "compensation" in December of 2014. Is he management?

It looks like Canouse's 5 million shares were cancelled in December of 2014.

So, worst case, Jeff's shares are the only ones that would not be considered "public". That would put the non-director, non-management owned shares at 43,680,934 for a conversion ratio of 0.0761 shares of Meridian for each HTSC share. Kinda sucky at less than half of the originally promised 0.153 per, but better than a stick in the eye, I guess.

However, I don't see the dividend on the FINRA Daily List, so until that happens, there is no dividend officially.
