What you uncovered was some bogus Microcrap funding outfit. Where they provide cash up front, in exchange for stock to dump.
Note in the SBFM PR they announced Dutchess would purchase "up to $2.5M" in stock? What does "up to $2.5M" really mean? It means any amount from $0.01 --> $2.5M. As an exercise you might want to go back to the SBFM filings to see what figure pops up in the stock for financing line. My bets are millions of stock were issued for some trivial amount of cash such as $20K-$60K.
What does Dutchess mean when they say: It went thru, they raised some money and screwed us.
It means SBFM screwed them on the terms of stock for cash from Dutchess. Example: Instead of N shares for $X cash, SBFM handed out only N-M shares. Or placed a higher par value with no means to adjust it to shares price.
What a sad situation: Dutchess who specializes on helping fund Microcrap scams for a pile to stock to dump later, complaining they got screwed by a Microcrap scam they tried to help with a ready made pump. LMAO!
