Glad I could help, its confusing reading them now, because, they were going through a transitional period then. For all intensive purposes, they had already completed the merger when that pr was sent out. The CUSIP change took many weeks longer.

Loftwerks did do business with Consultech's Midwest office prior to the merger, and I believe at one point shared office space next door to one another.

This is just speculation on my part, but the way I see how the relationship worked, Dennis Ammerman was a visionary kinda artistic guy, who wanted to reshape inner cities and make them live-able again. Buying old run-down buildings and turning them into stylish lofts was his creative outlet. Naturally, being an artistic guy didn't lend itself well with the paperwork aspect of the business, so record keeping and reports lacked accountability. Shorts took advantage of his weakness and drove the stock down shortly after he came public in the pink sheets.

Consultech's Midwest office were his builders. They helped ensure his attention to detail was maintained on the projects they worked together on. He also bought supplies from Sulja. Hence the relationship was formed.

Then at some point around December when Dennis realized shares were being traded well beyond the float, he, Peter and Steve hatched a plan to screw the shorts. He announced they were diluting the shares and the stock tumbled into the sub-penny range, where he, Peter and probably Steve bought up millions of shares, even going so far as to buying beyond the float available.

Then he went public with the information and the stock began to come back to life. Realizing they needed more in the way of assets to truly capture the shorts, they made plans to reverse merge Sulja into the fold.

After the merger, he was appointed Chairmen of the board for a short period of time, then abruptly resigned, probably in one of those fairly ugly shake ups where the board voted for one direction to take the company, while Dennis wanted another.

Not much of this was made public, so I'm really just speculating in regard to these things. After Dennis left, Peter was put in as Director and the rest is history as it were.
