So what is your point?

TALK owns 100% of UMS. As the UMS equity holder, TALK is likely to be wiped out and will own little to no UMS when the bankruptcy is complete.

Levy does own 100,000 shares of UMS

Not according to the SEC filings.

"Pursuant to the terms of the Purchase Agreement, the Company agreed to acquire from Mr. Lee all of the issued and outstanding capital stock of UMS"

"At the Closing, UMS will also be the 100% owner of United Mobile Solutions, LLC, International Touch Point, LLC, and United Prepaid, LLC (individually and collectively the “Subsidiaries”). Show us where in an SEC filing it says Levy owns 100,000 shares of UMS and not TALK.
