#2021 RE: finbin #2020

ChromaDex response to each allegation under microscope-The Bleecker Report(BR) states that..............

BR allegation:
David Blech, a "convicted fraudster," controlled more than 15% of ChromaDex" through stock owned by his wife,Margie Chassman.
ChromaDex Response:
To the company's knowledge, neither Mr. Blech nor Ms. Chassman has owned any stock in the Company since 2011.

BR allegation:
"This follows an earlier registered direct equity offering last year, where Honig/Brauser(with Frost) brought $2 million in stock directly from ChromaDex at a price of just $1.5(plus a pile of free warrants.)"
ChromaDex response:
This statement is misleading because the author stated the incorrect share price and neglected to reference the 1:3 reverse stock split the Company effected in April of 2016. The equity offering price per share was $1.25($3.75 post high) and included 50% warrant coverage at $1.50($4.50 post split). The terms of this offering were fully disclosed to the public in the Company's FORM 8-K filed with the SEC on November 5,2015.

BR allegation:
"In fact,we can see that ChromaDex CEO Frank Jaksch was actually an original investor in Honig's Pershing Gold at the time of its reverse merger into an empty Nevada shell company. Here is a copy of the reverse merger documentation name Jaksch. This was not a public deal that anyone could invest in. It was a special and private deal for associates of the stock promoter(Honig). The point is that the association between Jaksch and Honig is not just coincidental. CEO Jaksch is also part of Honig's crew"
ChromaDex response:
Mr. Jaksch was an investor in Empire Sports, a company would later become Sagebrush Gold and then Pershing Gold. And although Mr. Honig a current stockholder of ChromaDex,Mr. Jaksch has no affiliation or allegiance to Mr. Honig much less is a member of Mr. Honig "crew"(whatever that means). Mr. Jaksch took a loss on his investment when he sold his shares of Pershing Gold.
