In the most recent TALK 10-Q, there is no mention of the string of lawsuits against their supposed merger partner UMS in NOTE 9- SUBSEQUENT EVENTS. Shouldn't they have said something, as it is material information?

I think they will end up having to file an Amended 10-Q.

Or will it be argued that it was lawsuits against UMS, and not TALK, and therefore not material? Either they work as one company, or they don't. Which is it?
