A merger does not mean a partnership cannot happen. And just because a partnership hasn't happened yet doesn't mean it won't happen. Maybe the complexity of a pending partnership requires a more scrupulous look at the merger. A merger could be for cosmopseutical while a partnership comes in on the derma or optical arena.
