I'm no lawyer but this doesn't sound good:

from the 8k:

On the Effective Date, all shares or other ownership interests of the Company, including the Company’s common stock, will be cancelled without further act. Holders of equity interests in the Company will not be entitled to receive any distributions on account of such equity interests.


That's my opinion, always do your own DD.
