They do not need money, so they do not need to sell stock to raise funds. The company is well off.

The company needs to get the filings in, find a sponsoring market maker, and get a Form 211 approved by FINRA.

If they do this correctly and in a timely manner, also comply with the SEC Rule 15c2-11 we get a level II.

The advantage here, is reverse split cannot take place, dilution is out of the question and more important, short sale is impossible.

Many companies willingly choose grey market in a start up.
