Mediamax filed a civil case against Clement and his wife. I believe Clements claim is covered under federal labor laws for breach of contract, hence, Clement filed and the court approved the move to federal district court in Arizona. The NY case was filed in the NY Southern District.
The first example of a breach claimed by Clement in his lawsuit is the Mediamax failure to deliver his 4,450,000 shares. Funny that they claimed in the DEF 14c signed by director Wade Carrigan that he owned the shares yet they failed to pay the transfer agent to register them in his name or deliver them. Sort of like promised dividends over the past few years!
