They filed the proxy statement 4/8. RS vote is 5/5, it will pass. They have until 5/9 to satisfy Nasdaq listing and may have received an extension to carry out the RS. The ratio will be determined by the BOD, but will depend a bit on the closing price leading up to RS and how big a cushion they would like above $1.
