Who decides what the price is for the "cheap shares" you get? If those shares are coming from the company, that sounds like something the SEC would have to get involved in (like a Form D). And if you get cheap shares, what is the difference between this and a Form D? Maybe someone (Eli?) can weigh in on the practicality (and legality) of this.
