Jimmy... They didn't feel the need to refernce the R/S because it's public knowledge straight from the SEC filing. I believe the sole reason for this PR was to extinguish the flame that EVSI dividend was dead. EVSI refiled the PRE14C with the same contingencies as before after they filed the 8-K (see Acct number sequence)

The Amendment to the Company's Certificate of Incorporation amended the number of shares of stock that the Company shall be authorized to have outstanding at any time shall be (i) three hundred million (300,000,000) shares of common stock at par value of $0.001 with no preemptive rights. The form of
Certificate of Amendment that will be filed with the Texas Secretary of State is
attached hereto as Exhibit A.

APPROVAL OF 1-FOR-10 REVERSE STOCK SPLIT

General

The 1-for-10 reverse stock split of our Common Stock was adopted, subject to stockholder approval, by the Company's Board of Directors on April 11, 2006. Upon the effectuation of this reverse stock split, each ten (10) shares of our Common Stock will be converted automatically into one (1) share of Common Stock.
To avoid the issuance of fractional shares of Common Stock, the Company will issue an additional share to all holders of a fractional share.
Shareholder approval for a reverse stock split of the Company's common stock is valid for one year following the date of such approval.

Forget about this transaction,will you? This merger deal was completely wasting time and money. I feel I was fooled and mislead by Frank moody.

Based on the Company's failure to effectuate the reverse split and increase in authorized shares in a timely manner, at this time, parties have mutually agreed that they will not proceed with the transaction.

There will be no RS. Because the merger has been cancelled.
If you are holding 100K HISC, you will get 2000 share of EVSI at the whatever market price it will be. The current price is $0.035, that means the dividen worth only $70 for 100k share of HISC. Keep in mind that, the around 20M shares of evsi will be issued and added to current only 10.40M outstanding share of EVSI. The value of EVSI will be diluted and no longer will be at $0.035 after this dividend to HISC shareholder.

So, at the time you want to redeem these dividend to cash, it will be worth about nothing !

HISC is completely disappointed me.
