#44361 RE: CowboysNation88 #44327

investor229: You're an authority on this board and I see based on post history here it appears you actually owned CCRA shares before the 7/29/14 Form 10 was filed officially changing CCRA to NHMD.

To help me get a better understanding on what exactly happens to former public shell common shareholders shares in their brokerage accounts after a reverse merger is consummated w/ the "Super 8K" filing, can you please tell me what happened to the CCRA shares in your brokerage account?

Where they exchanged 1:1 for NHMD shares shortly thereafter or were your CCRA shares terminated and they didn't 'become' anything, or in other words, weren't exchanged for new NHMD shares?

I've seen the argument that if there had been a share exchange a Form 13 would have been filed indicating such and since there is no Form 13 filing here that means there was no share exchange and therefore CCRA investors lost everything they put into CCRA prior to the "Super 8K" filing because the CCRA shares were terminated and you had to buy new NHMD shares if you wanted any NHMD shares post the "Super 8K" filing. Personally, I don't believe any of that is true based on my understanding of how reverse mergers work.

If that is correct, how long did that share exchange/swap take and was it transparent to you? Meaning, your CCRA shares were essentially, exchanged/swapped eventually for NHMD shares having the effect of one day you had x amount of CCRA shares in your brokerage account and the next day you had x amount (same, 1:1 in this case) of NHMD shares in your brokerage account instead, replacing your former CCRA shares.

Any insight you can share on this is much appreciated.

Thanx,
lns
