Certainly possible but rare for a company's shareholders to not come out ahead in a reverse merger. Much less a good company like this one.

IMO all that will happen is a change of control like with most mergers. Meaning that the shares Jamie has will go to Jesse Klinkhamer. Jesse then will hold control and can issue shares back to the directors. Its the easiest way to effect the reverse merger and its what ive seen happen in most reverse mergers.
