That is absolutely not true. You're looking at an outdated form before Michael James, Inc entered into a formal merger with Bears N' Bulls. Most companies make similar filings so they can legally raise capital. If you want to be accurate, it should be noted that the Outstanding Share count is under 13 million shares.

This isn't a scam at all and you don't even know what your reading. That is what the company can raise. Not dilute.
