I was just about to post these corrections to what I've been reading in the past few days, but I'm glad you did since you're a warrant holder. Most important as you've noted is 1:70 reverse split is already approved and the March vote is for an enormous split of 1:10,000-1:20,000.

Everyone should read this filing carefully as this information is clearly noted...

Also what I noticed is they split each unit..

"Each Unit consisted of one-fourth of a share of Series A Convertible Preferred Stock and 20 Series A Warrants. Each one-fourth share of Series A Convertible Preferred Stock will be convertible into 10 shares of common stock and each Series A Warrant will be exercisable into one share of common stock at an initial exercise price of $1.24 per share. The Units separated into the Series A Convertible Preferred Stock and Series A Warrants as of January 25, 2016."

So when they PR a standstill for warrants, that doesn't include the convertible preferred portion that's freely convertible at any time.

Final point with reaching .01 price point that everyone is excited about... that's the price point the company needs to reach in order to trigger the minimum threshold so the warrants can kick back into high gear at 100% conversion...That's not a good thing!!

There's nothing hidden, and it's all in the filings, however unfortunately misrepresented.

So I have a few questions. 3/15 is the vote for the RS. Is that before or after market hours?

Second, if the price does eclipse .01 and warrant holders start converting their shares of which you said VPCO doesn't have the necessary $$ to do so do you think the price may still still ABOVE .01 if this high volume is maintained?

Third, if this high volume is maintained could warrants be converted while keeping the price and I'm using this word loosely "steady" before an RS

Hey Chuck...remember this discussion we had last night? LOL Well, that didn't take long to straighten out, and I'm glad VPCO decided to clarify and put to rest any wild notions other than the the facts.

This is a huge split that's about to wipe out shareholders... that is IF they wouldn't otherwise be wiped out by warrant conversions.

Seems to me that $VPCOD is the D=Downgraded version from the U=Upgraded one.

The Series A Warrants, described on page 19 of this report, became exercisable commencing January 23, 2016. The Series A warrants contain a cashless exercise feature that provides for the issuance of a number of shares of our common stock that increases as the trading market price of our common stock decreases. Approximately 43,100 Series A Warrants have been exercised in cashless exercises through April 6, 2016, resulting in the issuance of 64.3 million shares of common stock. If all of the remaining 1,031,670 Series A warrants were exercised pursuant to a cashless exercise and the closing bid price of our common stock as of the two trading days prior to the time of such exercise was $0.0037 per share or less and the Black Scholes Value is $75.7567 (the Black Scholes Value as of April 6, 2016), then a total of approximately 21.1 billion shares of our common stock would need to be issued to the holders of such Series A warrants. This amount exceeds the 4.94 billion shares the Company has available to issue. The potential for such highly dilutive exercise of the Series A Warrants may depress the price of our common stock regardless of the Company’s business performance, and could encourage short selling by market participants, especially if the trading price of our common stock begins to decrease. In any such event, your investment will be adversely affected.
