I think it's pretty obvious that internal controls will not be effective. As I said before, it doesn't matter all that much, they just have to disclose it in the 10-K. What could be a problem, is the time it takes the auditor to figure out what the material weaknesses are.

Of course it doesn't improve Solomon's bargaining position when raising funds. But we are used to that.

The explanation is probably that they want this spinoff to go as smoothly as possible and that Bertil is kinda old and don't have much time left to raise capital and doesn't want to travel all the time...

Remember that he very recently bought 10k shares..
