This trivial deal was announced months ago as a "Letter of Intent." Now it's a "Material Definitive Agreement." "The acquisition is anticipated to close on December 31, 2015."

Why not wait just two more weeks and announce when the acquisition is a done deal? That's the way a real business would do it.
