An unrestricted common share is not the equivalent of a restricted common share. This is not a reasonable practice if it is being done; I believe that if it's not yet illegal, it will be.

I can see how creditors may sell short ahead of toxic debt conversions for unrestricted common shares but to do so ahead of using a private private placement to cover is preposterous.

DEFINITION of 'Short Covering'
Buying back borrowed securities in order to close an open short position. Short covering refers to the purchase of the exact same security that was initially sold short, since the short-sale process involved borrowing the security and selling it in the market.
