The O/S is already greater than the A/S - they have issued unauthorized shares so they don't have any option but to increase the A/S.

We already know that Ross has a problem being truthful about the share structure.

Many investors make the wrong assumption that the insiders care about the PPS - what they care about is volume so they can dump shares.

Increase the A/S - create fake notes payable - issue the shares - hire pump and dump attorney to write a fraudulent 144 opinion letter and dump more shares.

Or some variation of the above.
