Show us where you see the 13mn. And even if there is debt, companies merge all the time with debt. In fact the 8K shows "acquisition" will be done on a combo of cash, shares and future earnings with Rontan. Even if there were an A/S increase, it would likely be for shares to give to Rontan for the purchase and have a long lock up period...so that the company can work towards a good share price for the entity before management can sell some...I am guessing .50~1.00.

That is just a condition that the debt is not more than 13 million, it dose not read that the debt is 13 million.
