I think it is real as rain...

It is being underwritten and waiting for final approval.

Letters of intent do not require 8-ks, since they are just
a gentlemens' agreement. When the underwriter signs off on it,
I believe DNRG will release the 8-k.

As far as the private placement goes, they wont need it. The
first tranche in the 1.2BB funding was for the 10 million
they need for initial phase of building the Rubicon.(From a FC
to a working prototype.)

Terms of this deal will be key.
