GMC Holding Corp was a public company trading on the Pink Sheets. On March 8, 2006 the SEC instituted a 10 day trading suspension. On April 5, 2006, at the request of the company, SEC revoked the registration the security. As of April 5th GMC Holding Corp became a private company.
All shareholders in the public company remain shareholders in the now private company. As a private company is it no longer possible for us to communicate with our shareholders using press releases that can easily be found under our now revoked trading symbol GMCC.

GMC Holding Corporation Update

The Securities and Exchange Commission’s investigation continues. The management of GMC Holding Corporation is complying fully with the Securities and Exchange Commission in the hopes of bringing this matter to a swift conclusion. We hope to have some specific news we can provide to you sometime during the summer. We wish to assure our stockholders that although we are not trading, the company continues to conduct business as usual.

The REMAT "cold motor" test demonstration using the "Big Bertha" motor, under load, was completed successfully. This proprietary technology proved functional for specific application commercialization. The R&D team, headed by the technology’s inventor, continues to work on expanding the applications of the REMAT "cold motor" technology, as well as the other breakthrough technologies associated with the motor and related power generation. Additionally, the engineering team, assisted by outside consultants, are working diligently to define the intellectual property of the "cold motor" technology to augment the filing of the first US patent currently in progress

Aqua-Plus Technologies

We have noted some confusion in certain quarters regarding our investment in Aqua-Plus. GMC's equity stake is in Aqua-Plus Technologies & Development, Inc., a Florida corporation. We do
not have an investment in any foreign corporations that may be similarly named. Our investment in Aqua-Plus Technologies & Development, Inc. is documented in materials presented to the Securities and Exchange Commission.

GMC is examining technologies that may have a place along side our investment in Aqua-Plus.

The management of GMC Holding Corporation will do its best to keep shareholder's apprised of the company's progress and status, however, we are extremely limited in our ability to release information due to the ongoing SEC action.
