Then the note holder probably knows when the announcement will occur and sold off so they could buy in at a lower price. At least that's what I would do

Sorry but your wrong, note holders are not interested in any penny stock and what goes on with their business. They make deals based on their belief that the stock will have the ability to with stand the conversion of their note. When a company seeks convertible notes for financing they do so knowing the risk of dilution that will follow. When the notes come due, all the holder cares about is getting his money, they are not in the business of buying stocks or becoming involved in the business of those they hold notes on.
