So if they held 30 grand for 1 year they would end up with 33 grand. 3 grand of interest money. I.e. 10 percent. They had they option within the first year to begin converting the loan into shares whenever they deemed necessary or hold the whole note for a year first. . So the way I read it is this for example: the stock price fell to .0015 well they get 50 off of .0015. So that's .00075. So they hand over 10 grand now that leaves 20 grand of the note left and they get 10,000 dollars worth of shares at .00075 so that 13.3 million shares they get when the lowest anyone else can get at the time is .0015 per the example. Whats that mean, they just got a bunch of free shares. So let's say they are able to sell all the shares they just acquired at .00075 to sells at .0015 well guess what they just got almost 20 grand. So now they only have to recoup 10 more thousand dollars and they have recouped the whole cost of the original note. And they still have money in their hand to convert to shares. Do you see why it's called toxic financing and it's so damaging to a stock??

The two notes in the amounts of $12,000 and $33,835 have been reclassified to accounts payable with conversion features

Were issued by Daniel Cooper. Rusty for whatever reason it appears either did not know about the notes, was uninformed, was not informed completely, or knew about them and said it will be handled. Given Cooper's History with COHO I think they where not fully disclosed to rusty and remember at the time in 2013 he was a new PUBLIC CEO not a new CEO but a new public one. I think the 30,000 dollar note is one or part of the notes listed above. All IMO

I could be wrong but this is how I read the filings. Any help on interpretation is appreciated.
