Sorry, that's just obviously wrong.

Besides... think about what you've written:

the subsidiary doesn't need to be registered with the Secretary of State, the parent company does.

Monster is suspended, and NGCG isn't registered with the SOS.

So - using YOUR requirements - how is any part of this company operating legally in California?
