#309605 RE: Gremlin9999 #309602

We can submit additional proposals. The question is will anybody actually do it and what will ERHC try to do to block proposals sent in by shareholders. Obviously there will be a very short window to do anything. And unless every i is dotted and every t is crossed I am sure they will find a way to exclude shareholder proposals. I think a vote on directors and maybe even putting up a slate of directors would be the thing I would want to vote on. This BOD has been MIA.

I would love to hear what others want to vote on.

It's not really clear Grem...

The section discussing submitting proposals relates to an implied Annual Meeting in 2016, and not the Special Meeting that is the purpose of the 14-A.

But, the 14A does say...

What happens if additional matters are presented at the Special Meeting?

Other than the items of business described in this Proxy Statement the Company is not aware of any other business to be acted upon at the Special Meeting. If other business with the purpose described in this Proxy Statement is properly presented for consideration at the Special Meeting, the persons named in your proxy card will have the discretion to vote on those matters for you.

So it sounds like other matters can be discussed at the Special Meeting but only if they fit the purpose of the Special Meeting, which is to vote on the R/S.
