I am sure Daddy used that as his defense in his fraud suits also. The problem with that position is that "thought" actually requires the use of thought.
The Business Judgement Rule protects management from making wrong, bad or even stupid INFORMED decisions. It is not a defense for gross negligence or worse...specially when management has hijacked the company from the shareholders as this "most ethical CEO" has.
So while one side says Porter is the most ethical, but the dumbest CEO, the other side says he is just a conman.
The Porters, Dad, Son and wife, have known these "business decisions" were bogus, designed solely to pump the price for their personal gain.
