New numbers on Total Float:

OS 67,374,721 as per TA

from def 14C dated 4-13-2006 latest filing.
Mike Alexander owns 78.1% of outstanding shares which includes his right of conversion of 500,000 shares of preferred stock at 100 shares common for each share of preferred resulting in 50,000,000 shares of common.
This is quote from last quarterly filing 10QSB for quarter ending 3-31-2006. "On August 26, 2005, the anniversary date of this recapitalization, the Company elected not to buy back the preferred shares resulting in the preferred shareholders being granted the right to convert this preferred stock into an aggregate amount of 50,000,000 common shares." (labeled NOTE 5 in 10QSB for period end 3-31-2006)

THEREFORE:
TA reports OS as 67,374,721 and adding the 50,000,000 shares because the filing said that his 78.1% included his rights of conversion shares.........implies........he owns 78.1% of 117,374,721 shares or 91,669,657 shares. However he has not taken up the option to convert so he owns 41,669,657 common and 500,000 shares preferred, as of 4-13-2006.

Randy Moseley, Chief Financial Officer beneficially owns 300,000 shares, per def 14C. Also an officer so his shares are restricted.

On February 7, 2006, the Company issued 100,000 shares of its restricted common stock for consulting services to the Andrew Austin Group, which the Company valued at $12,500. The shares were issued in reliance upon Section 4(2) under the Securities Act of 1933.

On March 13, 2006, the Company issued 232,000 shares of its restricted common stock for consulting services to Lionheart Associates, Inc., which the Company valued at $20,880. The shares were issued in reliance upon Section 4(2) under the Securities Act of 1933.

There have been 2,780,405 shares repurchased by the Company from December 2005 to March 31, 2006 and were purchased in open-market transactions.

Which means these 2,780,405 shares are also not in the float.
