I've seen that done. By scam companies.

Vakser is apparently more sophisticated than a lot of scammers. He knows that that would be a "purchase" of an insolvent company HE AND FRIENDS control a majority stake in. Using SUTI Shareholder funds in that direct manner would be an OBVIOUS scam. He uses these convoluted misnomers in an attempt to confuse that obvious ploy.
