The 3 million shares were issued all at once.

When they filed out of nowhere a few years ago and then stopped filing I thought maybe it was so that their retiring CFO could unload his shares.

The 3 million shares that were added may have been converting the CFO's preferred shares into common.

It is just a guess.

I should add that I think you are right about them wanting to go private.

They even call themselves a private company here.

I do wonder though if they will pay more in the future to get rid of any shareholders that do not sell under this offer.
