Wade can issue more shares at will. All he has to do is tell Nate to "sign here".

Nate is a puppet. Nothing more, nothing less. No one ever said Nate was malevolent or anything. Extremely naive, yes. Unfortunately for Nate ignorance of the law is not a viable defense. He went into business with a viper and will most likely suffer the consequences since it's his name and signature on all of the documents.
