23rd....? Why is become so important? There is nothing behind it? This is just a disclosure. All the 10k from the other companies have them. To me it is nothing but a normal reporting formalities.

$PVSP: It is to clear any confusion about the June 23rd. Lots of talk going on. Straight from the CEO.
Most companies say this in the 10-K

ITEM 12. SECURITY OWNERSHIP OF CERTAIN BENEFICIAL OWNERS AND MANAGEMENT AND RELATED STOCKHOLDER MATTERS

Information relating to securities authorized for issuance under equity compensation plans and other information required to be provided in response to this item will be presented in our definitive proxy statement for our 2015 Annual Meeting of Stockholders to be held on or about July 23, 2015, which information is incorporated into this report by reference.

We combined the proxy and the 10-K (for a cost savings)

Here is page 72 of the Vonage proxy. Like every company, it gives the ownership info for the shares vesting in the next 60 days.

STOCK OWNERSHIP INFORMATION
The following table sets forth information regarding the beneficial ownership of our common stock as of April 10, 2015 by:

each person or group who is known by us to own beneficially more than 5% of our common stock;

each of our directors and director nominees;

each of our named executive officers, as defined under SEC rules; and

all of our current directors and executive officers as a group.
Beneficial ownership is determined in accordance with the rules of the SEC and generally includes any shares over which a person exercises sole or shared voting or investment power. Shares of common stock subject to options that are currently exercisable or exercisable within 60 days of April 10, 2015 are considered outstanding and beneficially owned by the person holding the options for the purpose of computing the percentage ownership of that person but are not treated as outstanding for the purpose of computing the percentage ownership of any other person.
