Keep in mind these chefs at IVFH and Pasta are friends. They did this agreement on a handshake. Each others word.They have been working together for over a year now. Whatever value they placed on the shares likley has more to do with what they think they will be worth rather than what they were worth at any given time

Yes, it could make sense. The shares are restricted, and we do not know any of the terms of the deal. Perhaps they guaranteed a certain share price, and if that price is not met, then more shares will be released to the sellers. We just do not know....
