#18784 RE: TORPEDO #18743

"I ordered the file history from the NV SOS myself. They sent it straight to me."
"I have a copy of the shareholder's list and copies of the NVSOS and SEC file histories that say they are accurate."

"SHARE STRUCTURE
Free Trading Shs = 6,831,382
Restricted Shs = 54,615,316
Total Issued + O/S Shs = 61,446,698

FLOAT = 3,842,931*
* Excluding free trading shares held by others in own name or in name of brokerage firm."

The State of Nevada doesn't maintain records regarding the number of shares that a company has outstanding and they certainly don't maintain any share structure data as reported above. What document did you get from the NVSOS that provided a confirmation of the above numbers?

The last reported outstanding share number in the company's "SEC file history" (aka Edgar list) says "There are 65,035,370 shares of common stock outstanding as of June 30, 2001."
Just as is the case with Nevada, the company doesn't report to and the SEC doesn't maintain the share structure information that you say you got from them. What SEC filing do you have that confirms the reported data?

What is the date and the title of the shareholder's list in your possession?
How many shares are shown on that list as held by:
1. Peter Berney?
2. Bruce Barton?
3. Any other holder of greater than 5% of the outstanding shares as you report them?
