My interpretation is that they are showing that they were truly independent and held no shares in MSLP prior to their nomination to the board.

I'm assuming the 3 board members that resigned were not deemed truly independent as they had ties (through being an investor or something else) to the company prior to the board nomination.

Remember their goal is 5 out of 7 board members will be truly independent.

Leaving them needing only one more independent board member to add.

They have 4.

2 non-independent are Brad & Estella.

Form 3 is just a registration form. Form 4 is for changes in ownership, i.e. you have to file a form 3, before you can file a form 4.
