Between April 23, 2015 and May 4, 2015, StreamTrack, Inc. (the “Company”) issued an aggregate of 1,718,516,313 shares of common stock upon conversion of previously disclosed convertible notes.

In connection with the foregoing, the Company relied upon the exemption from registration provided by Section 4(a)(2) under the Securities Act of 1933, as amended.

As of May 4, 2015, the Company had 3,322,151,888 shares of common stock issued and outstanding.
