Satman, if you read on the Explanation of Responses:

( 1) Form 3 should have been filed on or about August 12, 2013.
( 2) Represents the amount owned following the respective dates of the transactions and as of the end of the respective fiscal years.
( 3) Distribution from the Issuer.


The question is, who is the issuer?
The issuer = ELITE

so no I don't think he bought them. He was compensated for his contribution to the company.
