It looks like they are saying to traders basically if you recently bought then decide now to get out or not, otherwise turn into an investor and hold the stock for this year to make a large profit later. It still looks good for someone who doesn't need to sell for a while but it's going to dip first.
This is the first stock I've seen that reverse splits and then does a lowball offer back to back. That's rather aggressive behavior, but they may be doing it knowing the stock moves, attracts new traders, and are trying to lean on that. Yeah it's just business, none of these oharts or companies have to be someones buddy I guess.
