I have to admit you really stumped me with your question.
Can they really buy out form d holders (they already own shares) with shares? If they did buy them out with cash how could this possibly drive
the stock price to trips? Those shares would simply go back to treasury and could be used for raising capital later on, in the mean time there would be a lot fewer outstanding shares and would drive the stock price up, not down.

As per note 9 or 10 they would get an adjusted percentage of the sale. I cant remember the exact details but that's the deal.
